Improve Eyes Terms and Conditions
1. Agreement & Acceptance
1.1 These Terms apply to all services and goods provided by Improve Eyes Pty Ltd (“Provider”).
1.2 A binding agreement is formed when the Client:
- Requests services verbally, by email, or in writing; and
- The Provider confirms availability; or
- Services are commenced or delivered at the Client’s request.
1.3 A signed contract is not required for these Terms to apply.
2. Scope of Services
2.1 Services include mobile optometry, eye testing, screenings, reports, and the supply of optical products including prescription eyewear and safety glasses.
2.2 The scope will be as outlined in quotes, proposals, emails, booking confirmations, or service schedules.
2.3 Optional upgrades (including lens coatings, UV Tints etc) are not included unless expressly approved in writing.
2.4 Eye testing and base prescription safety eyewear are provided subject to a pre-approved minimum spend. Optional upgrades, coatings, or enhancements are quoted separately and will not delay or affect payment of the minimum spend once services have commenced.
3. Quotes & Pricing
3.1 Quotes are valid for the period stated or, if not stated, 30 days.
3.2 Quotes may include:
- Base services (mandatory and invoiceable); and
- Optional items (quoted separately and subject to written approval).
3.3 Minimum spend requirements apply where stated and form part of the agreed price once accepted.
3.4 Budget approval is the Client’s responsibility and does not affect payment obligations once services are requested or delivered.
4. Approval to Proceed
4.1 The Provider will not order or manufacture custom-made goods (including prescription safety glasses) until written approval of the quoted amount or minimum spend is received.
4.2 Written approval may be provided by email confirmation.
4.3 Once approved, the Client is committed to payment in full.
5. Invoicing & Payment
5.1 Invoices will be issued for:
- Services provided; and/or
- Goods ordered or supplied, as applicable.
5.2 Payment terms are 14 days from invoice date, unless otherwise agreed in writing.
5.3 The Client must not withhold, delay, or set off payment for any reason, including budget constraints or internal approval processes.
5.4 The Provider may issue progress or staged invoices, including partial invoices for completed services.
5.5 Overdue amounts may incur:
- Interest at a reasonable commercial rate; and
- All costs of recovery, including legal and collection fees.
5.6 The Provider reserves the right to suspend or withhold further services or goods until payment is received.
6. Custom-Made & Non-Returnable Goods
6.1 Prescription eyewear, safety glasses, and lenses are custom-made and non-returnable once ordered.
6.2 No refunds, cancellations, or reductions apply after written approval to proceed has been provided.
6.3 The Client remains liable for full payment even if goods are not collected or subsequently required.
6.4 Services and custom-made goods are supplied at the Client’s request and are payable in full once approved or delivered, regardless of internal budget approvals or subsequent changes in requirements.
7. Medicare & Third-Party Claims
7.1 Bulk billing and Medicare claims are subject to eligibility and compliance.
7.2 Any services or goods not covered by Medicare are payable by the Client or patient.
7.3 The Provider is not responsible for declined or adjusted third-party claims.
8. Cancellations & Rescheduling
8.1 A minimum of 48 business hours’ notice is required to cancel or reschedule a confirmed service. If a booking is cancelled within 48 business hours of the scheduled service, a cancellation fee may apply. Any cancellation fee will be fair and reasonable, and limited to the genuine costs incurred by Improve Eyes Mobile Optometry as a result of the late cancellation, including clinician time, preparation, and loss of booking opportunity.
8.2 Late cancellations or no-shows may be charged in full and any prior deposits/payments may not be refunded. This is on the discretion of the team from Improve Eyes Pty Ltd.
8.3 The Provider may reschedule due to practitioner availability or circumstances beyond reasonable control.
9. Client Obligations
9.1 The Client must provide:
- Safe access to premises;
- Suitable space, lighting, and facilities;
- Coordination of participants and schedules.
9.2 Delays caused by Client readiness do not reduce fees payable.
10. Records, Systems & Privacy
10.1 Clinical records are maintained in accordance with legal and professional requirements.
10.2 Where system access is provided by the Client, the Provider may upload progress notes as agreed.
10.3 All personal information is handled in accordance with Australian privacy laws.
11. Liability
11.1 Services are provided with due care and skill.
11.2 To the extent permitted by law, the Provider is not liable for indirect or consequential loss.
11.3 Nothing in these Terms limits rights under Australian Consumer Law.
12. Termination
12.1 Either party may terminate ongoing services with reasonable written notice.
12.2 Termination does not affect payment obligations for services provided or goods ordered.
13. Governing Law
13.1 These Terms are governed by the laws of the Australian State or Territory in which the services are provided.
13.2 The parties submit to the jurisdiction of the courts of that State or Territory.
14. Acceptance of Terms
14.1 Acceptance occurs when the Client:
- Confirms acceptance in writing;
- Requests services to proceed; or
- Allows services or goods to be supplied.
We acknowledge the traditional owners of the land on which we work. We also pay our respect to Elders past, present and emerging.
